Board Directives

 

        

 

         The Board Directives outline what the principal functions of the Board are including Compliance Oversight, Direction Setting, Financial Oversight, Human Resource Stewardship, Performance Evaluation, Risk Management, and Stakeholder Relations. The Board Directives establish the Committee structure, authorities and assignments for the Board as well as providing written terms of reference for each of the Board’s Standing Committees which include the Executive Committee, the Strategic Planning Committee, the Quality of Life and Safety Committee, the Audit and Risk Management Committee, the Governance Committee, the Stakeholder Liaison Committee and the Special Committee on Assisted Living.

 

        As required by the Board Directives, the Board at its June 2011 meeting made adjustments to the 2011-2012 committee structure. This will see the restructuring and reduction in the responsibilities of the Executive Committee and the de-activation of the Strategic Planning Committee. The Executive Committee will be reconstituted to include the three corporate officers and two Board members at large, to meet on an as required basis to address exigent circumstances. In addition, the Chair may convene the Committee Chairs on an ad hoc basis to coordinate and develop proposals for Board consideration on annually recurring matters, to include:

 

  • Developing the Board’s annual work plan;
  • Drafting the CEO’s targeted objectives;
  • Drafting the CEO’s annual performance evaluation; and
  • Consolidating the annual performance report on the Perley Rideau’s organizational effectiveness.

 

Responsibility for the annual strategic assessment will be assigned to the Governance Committee for the year.
